Terms of Use and Sale

1. Purpose and scope

These General Terms of Use and Sale (hereinafter the “Terms”) aim to define the terms and conditions under which the service uptimeguard.pro provides users with an IT monitoring solution based on Uptime Kuma, operated in SaaS (Software as a Service) mode SaaS (Software as a Service).

These Terms apply to any use of the Service, whether free or paid, and shall prevail over any other document.

2. Service description

The Service enables the User to monitor the availability and proper functioning of IT resources such as websites, servers, APIs, network services, or application services.

Uptime Kuma is open-source software distributed under its own license. uptimeguard.pro is neither the author nor the owner of the Uptime Kuma softwareand acts solely as the hosting provider, operator, and technical integrator of the Service.

4. Definitions

  • User: any natural or legal person holding an Account on the Service.
  • Account: personal space providing access to the Service.
  • Service: SaaS monitoring solution provided by uptimeguard.pro.
  • Subscription: paid plan granting access to the Service under defined conditions.

5. Acceptance of the Terms

Access to the Service implies full and unconditional acceptance of these Terms. The User acknowledges having the legal capacity required to enter into a contract.

6. Access and service availability

The Service is accessible 24/7, subject to maintenance operations, updates, or events beyond the Publisher’s control.

The Service is provided on a best-efforts basis. No guarantee of continuous availability, absence of errors, or specific performance is provided.

7. Account creation and management

Creating an Account is required to use the Service. The User is solely responsible for the confidentiality of their login credentials.

The Publisher reserves the right to suspend or delete an Account, without compensation, in the event of:

  • violation of these Terms,
  • abusive or fraudulent use,
  • threat to the security or integrity of the Service,
  • non-payment of a Subscription.

8. Offers and subscriptions

The Service is offered through Subscriptions of indefinite duration, automatically renewedunless terminated by the user.

Features, limits, and conditions of the plans (Starter, Pro, Enterprise, or equivalent) are detailed on the uptimeguard.pro website.

The Publisher reserves the right to modify offers and their characteristics, without affecting current Subscriptions before their renewal date.

9. Financial conditions

9.1 Pricing

Applicable prices are those in effect on the date of subscription.

The Publisher reserves the right to modify its prices at any time. Any price change will be notified to the User with reasonable notice.

New prices will apply from the next renewal.If the User refuses the new prices, they may terminate their Subscription before they take effect.

9.2 Payment

Le paiement est exigible à l’avance, de manière mensuelle. Il est réalisé via un prestataire de paiement tiers sécurisé.

Any payment failure will result in automatic suspension, followed by termination of the Service without compensation.

9.3 Renewal

Subscriptions renew automatically at each billing cycle unless previously terminated by the User.

10. Right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the User acknowledges and agrees that the Service is provided immediately after subscription and expressly waives their right of withdrawal.

11. Termination

The User may terminate their Subscription at any time from their customer area. Termination takes effect at the end of the current billing period.

No full or partial refund will be issued for any started billing period.

12. User obligations

The User agrees to:

  • use the Service in compliance with applicable laws and regulations,
  • not compromise the security, stability, or performance of the Service,
  • not use the Service for illegal, fraudulent, or malicious purposes,
  • own or be duly authorized to monitor the declared resources.

13. Liability and limitations

The Service is provided “as is” and “as available.”

The Publisher does not guarantee:

  • exhaustive incident detection,
  • accuracy or immediacy of alerts,
  • absence of interruptions or errors.

Under no circumstances shall the Publisher be liable for indirect damages, loss of revenue, data loss, or commercial losses.

The Publisher’s total liability, for all causes combined, is expressly limited to the amount paid by the User during the previous twelve (12) months.

14. Data and confidentiality

The User remains the owner of all their data.

Data is hosted and processed exclusively for the purposes of the Service. No commercial use is made of it.

Personal data processing is described in the Privacy Policy available on the website.

15. Security

The Publisher implements reasonable technical and organizational measures to protect data. However, the User acknowledges the inherent limitations of any online service.

16. Intellectual property

The Uptime Kuma software remains subject to its open-source license.

All elements specific to the uptimeguard.pro Service (brand, domain name, interface, content) are protected by intellectual property law.

17. Suspension and force majeure

Service execution may be suspended in cases of force majeure or events beyond the Publisher’s reasonable control.

18. Modification of the Terms

The Publisher reserves the right to modify these Terms at any time. Users will be informed of any substantial changes.

19. Governing law and jurisdiction

These Terms are governed by French law.

In the event of a dispute, exclusive jurisdiction is granted to the courts within the jurisdiction of the Publisher’s registered office, including in the event of multiple defendants.
